These General Terms and Conditions ("Terms") govern your access to and use of InspectorVilla's websites, mobile applications, and other online products and services (collectively, the "Services") provided by InspectorVilla ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services. We may modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Services following the posting of modified Terms constitutes your acceptance of such modifications.

2. Modifications

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

• Use any robot, spider, or other automatic device to access the Services
• Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious material
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with the proper working of the Services
• Use the Services for any commercial purpose without our prior written consent
• Harvest or collect email addresses or other contact information from the Services
• Post false, misleading, or defamatory content
• Violate the rights of any third party, including intellectual property rights
• Engage in fraudulent or deceptive practices

5. InspectorVilla Services

InspectorVilla provides an online marketplace connecting homeowners with home inspectors and other service professionals. We do not provide home inspection services directly. The service professionals available through our platform are independent contractors and are not employees of InspectorVilla. We do not guarantee the quality, safety, or legality of any services provided by service professionals, nor the qualifications of any service professional.

6. Registration Information

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

7. Submitting Content

By submitting content to our Services (including reviews, comments, photos, and other materials), you represent and warrant that you own or have the necessary rights to submit the content, the content is accurate and not misleading, and the content does not violate any applicable law or regulation.

8. Publication and Distribution

By submitting content to our Services, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, copy, modify, display, distribute, and create derivative works from such content in any media format and through any media channels.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

10. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitations of Liability

IN NO EVENT SHALL INSPECTOR VILLA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

12. Indemnity

You agree to indemnify, defend, and hold harmless InspectorVilla, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

13. Mutual Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. You and InspectorVilla agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms that is not subject to arbitration shall be brought exclusively in the federal or state courts located in New Jersey.
